Ravi Foods Pvt. Ltd. (“RFPL”, “the Company”), maker of the Dukes brand, believes that a business grows best when the communities around it grow too. This policy explains how RFPL plans, carries out and reports its Corporate Social Responsibility (CSR) work in line with Section 135 and Schedule VII of the Companies Act, 2013 and the rules made under it.
1. Purpose
To guide RFPL in contributing to inclusive and sustainable development, with a focus on the regions where our plants, people and customers are, and to make sure CSR money is spent openly, on approved projects, and with measurable results.
2. Scope
This policy applies to every CSR project, programme and expenditure of RFPL, whether carried out directly, through a registered trust, society or Section 8 company, or together with other organisations.
3. Focus areas
RFPL selects projects from the activities listed in Schedule VII of the Act. Areas of interest for the Company include:
- Eradicating hunger, poverty and malnutrition, and promoting health care and sanitation.
- Promoting education, including vocational skills and livelihood programmes.
- Promoting gender equality and empowering women.
- Ensuring environmental sustainability, including care for water, soil and air, and responsible waste handling.
- Supporting rural development and community infrastructure near our units.
- Disaster relief and rehabilitation.
4. CSR Committee and governance
Where the Act requires it, the Board of Directors constitutes a CSR Committee. The Committee recommends this policy and the annual action plan to the Board, recommends the amount to be spent, and monitors the progress of projects. The Board approves the policy and the annual plan and ensures that the Company spends the required amount.
5. Funding
Where the Company is covered by Section 135, it spends at least two per cent of its average net profit of the three immediately preceding financial years on CSR activities. Any unspent amount is handled as the Act and its rules require: unspent money for an ongoing project goes to a special unspent CSR account and is spent within the permitted period, and any other unspent money is transferred to a fund specified in Schedule VII.
6. How projects are chosen and carried out
- Needs are identified with the help of local communities, partner organisations and the Company’s own units.
- The CSR Committee reviews each proposal against Schedule VII, its expected benefit, budget and time frame.
- Implementing partners must be eligible under the rules, with a record of past work, and are chosen on merit.
- Each project has a written plan, a budget, a timetable and named people responsible for it.
7. Monitoring and reporting
Projects are reviewed against their plan at regular intervals. The Company keeps records of every rupee spent and of the results achieved. Where the Act requires, the Board’s report carries an annual CSR report, and impact assessment is carried out for eligible projects.
8. What CSR does not include
Activities that benefit only the Company or its employees, contributions to political parties, and anything done in the normal course of business are not counted as CSR.
9. Review of this policy
The Board reviews this policy whenever the law changes and at least once every few years, and updates it as needed.
